TERMS OF SERVICE

XZMargin is a business decision-support service — not the accounting system of record.

These Terms govern access to XZMargin, operated by XZ BYTECORE PRIVATE LIMITED. By creating an account or using the service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms unless a separate signed agreement governs the use.

1. Effective date and contract structure

Effective date: 16 September 2026. These public Terms apply unless a signed order form, master services agreement, DPA, statement of work or other written commercial agreement states different terms. A signed agreement controls to the extent of a conflict.

2. The service

XZMargin analyses customer-supplied business data to surface profitability, margin-gap, inventory, supplier-cost, working-capital and management-review signals. The service may include import validation, source evidence, reports, account administration, billing and optional communications. Features, limits and supported formats may change as the product evolves.

3. Source-of-record boundary

XZMargin does not replace Tally, BUSY, an ERP, statutory books, tax filings, an audit, assurance engagement or professional accounting advice. Source accounting systems and the customer’s underlying records remain the system of record. Material business decisions should be checked against those records and, where appropriate, qualified professional advice.

4. Accounts and authorised users

You are responsible for maintaining accurate account information, protecting credentials and restricting access to authorised users. Workspace administrators are responsible for invitations, roles and the actions of users they authorise. Notify XZ BYTECORE promptly if you believe an account or workspace has been compromised.

5. Customer data and instructions

The customer retains responsibility for its source data and represents that it has the rights and lawful basis needed to upload and process that data through XZMargin. The customer grants XZ BYTECORE the limited rights necessary to host, parse, transform, calculate, display, transmit and otherwise process the data to provide and secure the service. XZ BYTECORE does not obtain ownership of the customer’s business records by providing the service.

6. Data quality and calculated outputs

Outputs depend on the quality, completeness, mapping and interpretation of customer-provided fields. Missing cost, quantity, date, return, discount or inventory evidence may cause a result to be incomplete, unavailable or marked data-dependent. Estimated margin gap, blocked cash, supplier-cost pressure and similar metrics are management signals, not booked accounting losses or guaranteed recoveries.

7. Acceptable use

You must comply with the Acceptable Use Policy. In particular, do not access another company’s workspace, upload data you are not authorised to process, interfere with service security, distribute malware, abuse rate limits or use XZMargin for unlawful activity.

8. Privacy and data processing

Our handling of personal data is described in the Privacy Policy. Customers requiring processor terms may incorporate the standard Data Processing Addendum into an applicable commercial agreement. Current external service providers are listed on the Subprocessors page.

9. Plans, payment and taxes

Paid features are subject to the price, billing cycle, limits and taxes shown at checkout or in an order form. Subscription fees are due according to the applicable billing terms. Payment processing may be provided by a third-party payment provider. You are responsible for applicable taxes or statutory charges unless the governing agreement states otherwise.

10. Cancellation and refunds

Standard online cancellation and refund rules are set out in the Cancellation & Refund Policy. Enterprise or negotiated commercial terms may be different and will control where agreed in writing.

11. Service availability and changes

XZ BYTECORE works to keep the service available and reliable but does not promise uninterrupted operation unless a written service-level commitment applies. Maintenance, security events, third-party infrastructure, internet conditions and feature changes can affect availability. We may modify or discontinue features when reasonably necessary, subject to any binding customer commitment.

12. Suspension

We may restrict or suspend access when reasonably necessary to address non-payment, security risk, suspected unlawful use, a material breach of these Terms, abuse of another customer or infrastructure, or a legal requirement. Where practical and safe, we will seek to provide notice and an opportunity to remedy before a non-urgent suspension.

13. Intellectual property

XZ BYTECORE and its licensors retain rights in XZMargin software, product design, documentation, trademarks and other service materials. These Terms grant a limited, non-exclusive, non-transferable right to use the service during the authorised subscription or access period. Customer data and customer-owned source materials remain the customer’s responsibility and property subject to the limited processing rights needed to provide the service.

14. Feedback

If you voluntarily provide product ideas or feedback, XZ BYTECORE may use that feedback to improve its products without a royalty obligation, provided that doing so does not grant XZ BYTECORE ownership of the customer’s confidential business data.

15. Confidential information

Each party should use reasonable care to protect the other party’s non-public confidential information and use it only for the relationship. Confidentiality obligations may be expanded in a signed commercial agreement. Information that is public without breach, independently developed, lawfully received from another source or required to be disclosed by law is generally not treated as confidential under this section.

16. Disclaimers

To the maximum extent permitted by applicable law, XZMargin is provided as a technology and decision-support service. XZ BYTECORE does not warrant that every source file will be interpretable, every business definition will match the customer’s accounting policy, or every identified opportunity will result in realised savings or profit. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

17. Liability framework

Any negotiated limitation of liability, indemnity or service-credit regime in a signed commercial agreement controls. In the absence of such an agreement, neither party is responsible to the other for indirect, special, exemplary or consequential losses to the extent such exclusion is permitted by law. Nothing in these Terms limits liability that applicable law does not permit a party to limit.

18. Termination and data after termination

Access ends when the applicable account, subscription or agreement ends. Customers should export required reports before termination where possible. Data handling after termination follows the Data Retention & Deletion Policy, applicable law and any signed customer agreement.

19. Governing law and disputes

Unless a signed commercial agreement specifies otherwise, these Terms are governed by the laws of India. Courts with jurisdiction over the registered office of XZ BYTECORE PRIVATE LIMITED in India will have jurisdiction, subject to any mandatory law or agreed dispute-resolution clause that applies.

20. Changes and notices

We may update these Terms to reflect product, legal or operational changes. Material changes will be reflected by an updated effective date and, where required, additional notice. Continued use after an effective update may constitute acceptance to the extent permitted by law and the applicable agreement.
